(\u201cSESA\u201d \u2013 SES.MI), leading player in Technology, Digital Platform and Vertical Application for enterprises and organizations with revenues of approximately Eu 3.6 billion and a workforce of around 6,770 people, listed on the Euronext STAR segment of Italian Stock Exchange, announces that the notice of the ordinary Shareholders&#8217; Meeting of the company \u2013 convened for August 27, 2026 at 10:00 A.M., in Empoli (Florence), Via della Piovola n. 138, on first call and, if necessary, in second call on August 28, 2026, same time, exclusively through telecommunications media &#8211; was made public in extract on the daily newspaper \u201cDomani\u201d, and is also available in full version together with proxy voting forms, on the company&#8217;s website www.sesa.it (section \u201cInvestors \u2013 Shareholders\u2019 Meetings\u201d) as well as on the authorized storage mechanism available at www.emarketstorage.com.<br \/>\nPlease also note that the following documents are published, pursuant to law and regulation, on the company\u2019s website www.sesa.it (section \u201cInvestors \u2013 Shareholders\u2019 Meetings\u201d) and available at the corporate headquarters and on the authorized storage mechanism at www.emarketstorage.com:<\/p>\n<ul>\n<li>Explanatory reports of the Board of Directors on items no. 1 (Integrated Report as of April 30, 2026), no. 2 (Remuneration), no. 3 (Stock Grant Plan) and item no. 4 (Purchase of treasury shares) on the agenda;<\/li>\n<li>Report on Corporate Governance and Ownership Structure pursuant to art. 123-bis of the Consolidated Finance Act;<\/li>\n<li>Report on the Remuneration Policy and the Paid Consideration, drawn up pursuant to art. 123-ter of the Consolidated Finance Act.<\/li>\n<\/ul>\n<p>Regarding the explanatory report on the point no. 1 (Integrated Report as of April 30, 2026), it should be noted that, with reference to the proposal of allocation of the net profit for the year (equal to Eu 28,211 thousand), the Board of Directors on July 16, 2026 proposed to the Shareholders&#8217; Meeting, in addition to the dividend distribution of a maximum total amount to Eu 20,197 thousand, to allocate Eu 1,411 thousand to the legal reserve and Eu 6,604 thousand to the extraordinary reserve.<\/p>\n<p>With specific reference to the proposal for the distribution of dividends approved by the Board of Directors of Sesa S.p.A. on July 16, 2026, which is to be submitted for approval to the Shareholders&#8217; Meeting convened for August 27, 2026 on first call (and, if necessary, for August 28, 2026 on second call), it is hereby announced that the dividend will be payable as of September 23, 2026, with ex-dividend date set for September 21, 2026.
